These Terms and Conditions govern your use of the services provided by YourAudience, a Software as a Service SaaS business. By using our services, you "Client"agree to be bound by these Terms. If you do not agree, you must not use our services.
1. Services Provided
YourAudience agrees to provide services and deliverables as outlined in your selected pricing plan on our website "Services". The specific scope of services, deliverables, and terms are detailed in your individual agreement with us.
2. Pricing and Payment
Service Fee: The fees for your selected plan are listed on our website and in your agreement.Payment Schedule: Payments are due every 30 days for the duration of the agreement term.First Payment: The first month's payment is due upon signing this agreement.No Refunds: All payments are final and non-refundable, except as stated under our performance guarantee.Authorization: By providing payment information, you authorize YourAudience to charge your credit card or other payment methods for all agreed-upon amounts.
Behavior: The Client agrees to maintain a professional demeanor when interacting with YourAudience and its representatives. Disruptive, abusive, or inappropriate behavior may result in the suspension or termination of services.Compliance: The Client must follow program guidelines and provide necessary access to their platforms to facilitate service delivery.
Notice of Cancellation: To cancel services, the Client must send written notification to [email protected] at least seven (7) days before the renewal date.Off-Boarding Requirements: The Client must complete the off-boarding form and participate in a 15-minute exit interview.Automatic Renewal: Services renew automatically unless canceled in accordance with these Terms.
5. Liability and Indemnification
Limited Liability: YourAudience is not liable for any damages resulting from a third-party hack or suspension of the Client’s platform due to reasons within the Client’s control.Force Majeure: Neither party shall be held liable for failure or delay caused by events beyond their reasonable control, such as natural disasters, war, or governmental actions.
Confidential Information: Both parties agree to protect each other’s confidential and proprietary information. This includes trade secrets, business plans, and data.Use of Client Data: YourAudience will only use Client data to provide services and will not share it without express consent.Ownership: Materials, strategies, and other intellectual property provided by YourAudience remain our exclusive property and may not be reproduced or distributed by the Client without written permission.
7. Recordings and Testimonials
Call Recordings: Video and phone calls may be recorded for quality and training purposes. Excerpts may be used in YourAudience’s internal marketing campaigns with prior notice.Proof of Performance: YourAudience may use anonymized campaign results for promotional purposes.
8. Termination of Services
Non-Payment: If payments fail or remain outstanding, YourAudience reserves the right to suspend or terminate services and deactivate any intellectual property or materials created for the Client.Return of Materials: Upon termination, both parties must return or destroy all confidential information belonging to the other.
Jurisdiction: This agreement is governed by the laws of [Insert Jurisdiction], and disputes shall be resolved in courts located within this jurisdiction.Waiver of Jury Trial: Both parties waive the right to a jury trial for any disputes arising from this agreement.
By accessing or using YourAudience’s services, the Client agrees to these Terms and represents that they have the authority to bind their organization to this agreement.
